Follow this checklist and get your paperwork ready.

For natural persons:

  • Identification card or passport
  • Utility bill with name and address

For legal persons:

  • Updated proof of incorporation of the legal person;
  • Minutes of the General Meeting approving the incorporation of the portuguese company and you powers for incorporating the portuguese company;
  • Identification of the person with the power to incorporate the new company;
  • Translated and authenticated Memorandum and Articles of Association in its origin country.


Book an appointment

The next step to incorporate your company in Portugal (if you are not Portuguese or do not hold a NIF) is to make an appointment with IRN.

Email them at and request a meeting at their office.


Choose a name for your company.

You can choose from a list of pre-approved names or request the approval of your preferred name with an additional cost of € 75,00. In this case, you will have to provide 3 different names which will be considered for approval. In case you choose a previously approved name, you will not need to go through this approval process.

The name for your company depends on the type of company you will incorporate. This is when you will decide to incorporate a “Unipessoal, Lda.”, “Lda.”, or “S.A.”


Choose the Memorandum and Articles of Association

Now that you have chosen the type of company you want to incorporate and a name for your company, you need to choose the way you want to run your company. This implies deciding on the type of structure, liability, and voting, among other details.

You can do so by writing your own (which need to be approved by IRN) or choosing pre-approved Memorandum and Articles of Association.

You will also have to mention the company‘s registered head office, corporate object, share capital, identify the registered manager, and how define how many signatures bind the company.


Attend your meeting

All members of the future company have to attend the meeting (or sign a PoA to a lawyer that must be present) at the Empresa na Hora desk to start the incorporation process. In the meeting, you and each of your partners will be given a Portuguese TIN number (NIF). Your company will also be given one.

You have to be present to be granted your TIN. You’ll also sign the Memorandum and Articles and the registration office will promote the registry and publish the partnership agreement at Ministry of Justice’s website. The service desk provides an access code to the company’s e-card while the physical card and an access code to the commercial registry’s permanent certificate are sent to the company’s registered head office.

This will have a cost of 360€ and can be paid by cash or debit card. In case you choose a custom name for your company you will pay an additional € 75,00.


Final steps

Congratulations! Your company is now registered in Portugal.

There are, however, a few steps you still need to complete.

  • First you need to make a deposit of the share capital in a Portuguese bank within the timeframe set out in the memorandum and articles of association;
  • Then, ask your accountant to submit the Declaration of Start of Activity with Tax authorities (Finanças) within 15 days;
  • Now, register the company with Social Security within 30 days;
  • Finally, register the ultimate beneficial ownership within 30 days of incorporation.
